As a lawyer, I most commonly serve as outside general counsel to emerging and middle-market companies in the service, manufacturing and tech sectors. My primary focuses are M&A and financings, handling everything from high 9-figure international acquisitions to middle 6-figure financings for local start-ups. My day-to-day client advice is as broad-ranging as my clients' needs, most commonly involving contracts, licensing, compliance matters, joint ventures/strategic alliances, and intellectual property matters.
I'm also active in Boston's venture and angel capital community, both as a longtime member of Launchpad and more recently as a co-founder and managing director of SideCar Angels.
I often speak on business and legal matters, most recently serving as a panelist at the Angel Capital Association annual meeting, the International Mergers & Acquisitions Program (IMAP) Annual Conference, KPMG's annual Audit Committee Institute in Short Hills, and the International Securities Conference in Salzburg. I have served on a variety of panels for the MIT Enterprise Forum, the Massachusetts Technology Leadership Council and other industry groups.

SideCar Angels is a Boston-based angel group that rides “sidecar” with top-tier angel groups and VCs to fund early-stage companies. Founded in late 2012, SideCar is already among the more active angel groups in the country.
SideCar’s approach benefits its members, emerging companies, and its syndicate partners in various ways.
For Members: Angel investing has traditionally been the domain of persons with time and expertise to conduct “deep-dive” due diligence. As a result, it has often been hard for persons with full time jobs or who lack technological insight to make angel investments. SideCar gives its members access to deals where the due diligence has been completed and the deal terms have already been negotiated.
For Emerging Companies: SideCar’s additional funding provides companies with additional runway to achieve their goals and reach their next value inflection point.
For VCs and Angels: By delivering 6-figure investments within days of an emerging company’s presentation, SideCar permits deals to close faster. Because SideCar invests on the same terms and does not require additional due diligence, VCs and angel groups find it easy and efficient to invite SideCar into their deals.
For the Angel Capital Ecosystem: By expanding angel investing to accredited investors who would not otherwise participate in a traditional angel group, SideCar hopes to greatly increase the amount of angel funding available for quality deals. By doing so, SideCar believes it both increases the chances that entrepreneurs will have the capital needed to succeed, and that the angel groups and VCs leading those deals will see a return on their investment.
