Deborah Dong’s Summary

With over 20 years experience in business, law, and technology, including over 8 years of “large firm” experience, I opened my own legal practice in October 2007.

I am a business attorney who works primarily with high technology and emerging growth companies. My specialty is software licensing and technology transfer transactions, assisting clients in protecting, developing, acquiring and commercializing their intellectual property. This includes structuring, negotiating and drafting contracts such as distribution channel, OEM, development, strategic alliance, joint venture, open source and end-user licenses. My clients' businesses encompass many sectors of technology, including software, hardware, telecommunications, Internet, multimedia, data security, semiconductor and bioinformatics.

For institutional clients such as banks and investment funds, I advise on in-licensing matters (obtaining services and licenses for technology). For investors and acquirers, I perform intellectual property due diligence on companies seeking funding and on potential targets.

I also serve as outside general counsel for businesses of all types – managing day-to-day legal matters for companies without in-house lawyers. This includes being the first point of contact for all of a company’s legal matters, managing outside counsel, and handling contracts of all kinds, such as partnership/LLC operating agreements, leases, and employment and consulting arrangements.

While I have represented companies ranging from single-member and family-owned businesses to multinational public companies that are industry leaders, my particular strength is representing privately-owned small- to medium-sized businesses, especially in negotiations with larger companies.

For executives and other individuals and their families, I design and prepare estate plans with an emphasis on tax minimization and asset protection.

I am admitted to the Massachusetts Bar and the United States Tax Court.
