In April 1997, CSX Corporation and Norfolk Southern Corporation entered into an agreement to jointly acquire Conrail, Inc. Pursuant to the agreement, Conrail would be merged into Green Acquisition Corp., a wholly owned subsidiary of CSX, and become a jointly owned subsidiary of CSX and Norfolk. Conrail, Inc., through its wholly owned subsidiary, Consolidated Rail Corporation, provided freight transportation services for various goods in the northeast and midwest United States, as of March 31, 1997. It interchanged freight with other U.S. and Canadian railroads for transport to the destinations within and outside Conrail's service region.
