How to register a company in India?
One of my friends has started a recruitment consultancy in Mumbai/India. He caters to the BPO recruitments. He wishes to transform his company from a proprietorship concern to a private limited concern. Kindly advise as what he should do in order to achieve his goals. His firm is based in Mumbai. He has a service tax number as well as a PAN number.
He also needs to know as how should one get a trademark registered.

Contact a well establised CA. Its a standard procedure ...takes around 2-3 months in India.
However, make sure your friend understand what are liabilities or rules or regulations that he would have to follow when he converts his firm from proprietorship to pvt. ltd.
Talk to CA preferably the one you are friends with.

Hi Niraj,
You would require an advisor - financial advisor such as a CA who would get the documents prepared for registering your company and get the DIN for the promoter/directors.
You would further require an attorney who deals with Intellectual Property Rights to pursue Trademark registration (with Indian Patents & Trademark office in Mumbai)

If your friend is creating a company that will have clients outside of Mumbai/India, you might consider forming a US-based company instead of an India-based company.
- The incorporation process in India takes approximately 35 days, compared to forming a delaware-based corporation in the United States in 24 hours.
- Indian companies must have two subscribers for a private company. Seven are required for a public company. One individual can create a delaware-based US corporation. Residency is not required.
- In India, corporate law is a government function; governed by the Indian Companies act of 1956. Corporate laws in the US are governed by each state. Delaware is the most popular jurisdiction for incorporation, but any state can be selected.
The easiest way to form your company is to use an online provider such as BizFilings. I recommend using the online chat capability to communicate with them from India without incurring any telephone expenses.

I would recommend your friend to contact an established company secretary (who has good contacts in MCA) for getting a speedy and accurate incorporation done. In best interests, it is quite important to avoid any corporate mis-compliance. Thereby, he needs a CS who can a good view towards the same.
